Terms of Service
Last updated: October 22, 2026
Overview
This website, hollence.com (the "Site"), is operated by Valid Ventures LLC, doing business as Hollence ("Hollence," "we," "us," and "our"). We offer this Site, including all information, tools, products, memberships, and services available on it (together, the "Service"), to you on the condition that you accept these Terms of Service ("Terms") and all policies referenced here.
By visiting the Site, adding items to your cart, placing an order, joining the Hollence VIP Club, or otherwise using the Service, you agree to these Terms, including our Privacy Policy, Refund Policy, Shipping Policy, and Subscription Terms, which are incorporated by reference. If you do not agree, do not use the Service.
Our store is hosted on Shopify Inc. Checkout and payment processing may be provided by third-party payment and checkout providers on our behalf.
IMPORTANT NOTICE — PLEASE READ CAREFULLY. THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER (SECTIONS 21–25). THEY REQUIRE DISPUTES BETWEEN YOU AND HOLLENCE TO BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, SUBJECT TO LIMITED EXCEPTIONS. YOU MAY OPT OUT AS DESCRIBED IN SECTION 24.
Section 1 – Eligibility
By using the Service, you confirm that you are at least 18 years old and the age of majority in your state or jurisdiction of residence. You may not use the Service for any unlawful or unauthorized purpose, or transmit any viruses, malware, or code of a destructive nature. A breach of these Terms may result in immediate termination of your access to the Service.
Section 2 – General Conditions
We may refuse service to anyone for any lawful reason at any time. Your content, excluding payment card information, may be transferred unencrypted over various networks. Payment information is always encrypted in transit. You may not reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without our express written permission.
Section 3 – Products, Pricing, and Availability
Some products are available only online and may be limited in quantity. We may limit sales to any person, region, or jurisdiction, limit quantities, or discontinue any product at any time. Product descriptions, prices, promotions, and availability may change at any time without notice. We try to show colors and details accurately, but cannot guarantee that your screen displays them accurately.
How prices work on this Site. Each product shows two prices:
- Standard price: the price for customers who are not VIP Club members, shown as "Just this order."
- Member price: the price for VIP Club members, shown as "Join VIP Club." Member prices are available only to customers who join the VIP Club with that order, already have the VIP Club in their cart, or have an active VIP Club membership.
Products may also be offered in multi-item packs (for example, a 1-pack, 2-pack, 3-pack, or 4-pack). The pack price shown on the product page, including any bundle saving, is the price for the whole pack. The pack you select appears as part of the item name in your cart and on your order.
The price charged for each item is the price of the item, pack, and pricing option in your cart at the time you complete checkout. If the VIP Club membership is removed from your cart, and you are not an existing member, any member-priced items in your cart will change to the standard price before checkout.
Section 4 – Orders, Billing, and Account Information
To place an order, you add items to your cart on the Site and complete checkout. We may refuse, limit, cancel, or modify any order at our discretion, including where we suspect fraud, abuse, unauthorized activity, pricing errors, or inventory issues. If we cancel an order after you have been charged, we will refund the amount charged for the cancelled items.
You agree to provide current, complete, and accurate purchase and account information, and to promptly update your email address, payment method, billing address, and shipping address so we can complete your transactions and contact you.
You authorize us to keep your payment information on file and to use updated payment information provided by your card issuer or payment provider, including through Visa Account Updater, Mastercard Automatic Billing Updater, or similar programs. If we cannot obtain valid payment information, your membership may be suspended or cancelled.
If you believe a charge is wrong, please contact us within thirty (30) days after it appears on your statement so we can review it. Not doing so does not waive any rights you have under consumer-protection law or your card issuer's chargeback procedures.
Charges may appear on your statement as "HOLLENCE" or another descriptor shown at checkout or in your order confirmation.
Section 5 – Electronic Communications and SMS
By using the Service, placing an order, or joining the VIP Club, you consent to receive communications from us electronically, including by email and by notices on the Site. You agree that electronic agreements, notices, and disclosures satisfy any legal requirement that they be in writing.
If you provide a mobile number and opt in to our text messages, you agree to receive recurring automated promotional and transactional text messages. Consent to marketing texts is not a condition of any purchase. Reply HELP for help and STOP to cancel. Message and data rates may apply. Message frequency varies.
Section 6 – Hollence VIP Club Membership
The Hollence VIP Club is an optional, paid membership. It is never added to your order without your choice.
How you join. On a product page, you choose between "Join VIP Club" and "Just this order" before adding the item to your cart. If you choose "Join VIP Club," the member-priced item and one VIP Club membership (shown in your cart at $0.00) are added to your cart. You can also add the VIP Club from your cart where that option is offered. You can remove the membership from your cart at any time before checkout. You join the VIP Club when you complete checkout with the membership in your cart.
Material terms of the VIP Club:
- No membership fee at enrollment. You pay only for the products in your order, at member prices. There is no membership fee on the order you join with.
- 28-day introductory period. Your membership begins with a 28-day introductory period starting on the date of your order. The introductory period costs $0.
- First membership charge. Unless you cancel before the introductory period ends, the payment method used for your order will be charged $29.99 USD on the 28th day after your order date.
- Recurring billing. After the first charge, your membership renews automatically every 28 days at $29.99 USD until you cancel. There is no minimum term.
- Member benefits. Benefits currently include member prices on eligible products (shown on each product page), free standard shipping on eligible member orders, access to members-only products, early access to new arrivals, and priority support. We may change benefits, eligibility, and member prices from time to time. Material changes will be communicated as described in our Subscription Terms.
- How to cancel. You can cancel at any time, with no cancellation fee, by emailing info@hollence.com, calling +1 (350) 930-6865, or using the contact form at hollence.com/pages/contact and choosing "VIP membership." To avoid the next charge, cancel before your next billing date.
- After you cancel. Cancelling stops all future membership charges. You keep member benefits until the end of the period you have already paid for (or until the end of your introductory period, if you cancel during it).
These terms are shown on the product page and in your cart before you complete your purchase. By completing checkout with the VIP Club in your cart, you expressly authorize Hollence and its payment processors to charge your payment method for the recurring membership fee described above until you cancel. The full Subscription Terms, including payment authorization, refunds, price changes, cancellation, suspension, and termination, are incorporated into these Terms by reference.
Section 7 – Shipping Fees, Handling Fees, and Taxes
Orders may include shipping charges, taxes, and any other charges shown at checkout before you complete your purchase. If a handling fee applies to your order, it will be itemized at checkout before you complete your purchase. All prices and fees are in U.S. dollars unless stated otherwise.
Section 8 – Shipping, Delivery, and Address Changes
We aim to process and ship orders promptly, but shipping and delivery times are estimates and are not guaranteed. Delays may occur because of carriers, weather, high order volume, inventory, or other factors outside our reasonable control. If your order has not been fulfilled yet, we may be able to correct your shipping address if you contact us quickly. Once an order has shipped, we generally cannot change the address or cancel the order. Risk of loss and title pass to you when we deliver the products to the carrier.
Section 9 – Order Cancellations
Orders may enter processing immediately after you place them, so we cannot guarantee that an order can be cancelled once placed. Contact us as soon as possible and we will try to help. Except where required by law or stated in our Refund Policy, sales are final once an order is placed.
Section 10 – Returns, Refunds, and Replacements
Our Refund Policy governs returns, refunds, and replacements and is incorporated into these Terms. Except where required by law, we do not issue refunds for change of mind, personal preference, a product that matches its description, shipping delays outside our reasonable control, or membership charges where the membership was not cancelled before the billing date.
If an item arrives damaged, incorrect, or is not received, contact us within the time stated in our Refund Policy with your order number and any information we reasonably request, such as photos. If your claim is approved, we may provide a replacement, store credit, or refund, as described in the Refund Policy and as required by law.
Section 11 – Membership Cancellations and Refunds
You can cancel the VIP Club at any time by email at info@hollence.com, by phone at +1 (350) 930-6865, or through our contact form. There is no cancellation fee. Cancelling stops future renewal charges but does not automatically refund membership charges already processed. If you believe you were charged in error, contact us promptly and we will review it. We may issue a full or partial refund of a membership charge as a courtesy or where required by law.
Section 12 – Third-Party Tools and Links
The Service may link to or use third-party services, such as checkout and payment providers, order-tracking tools, and customer-support tools. We provide these for convenience and without warranties of any kind. Your use of third-party services is at your own risk and subject to their terms and policies.
Section 13 – User Comments and Submissions
If you send us comments, ideas, feedback, reviews, photos, videos, or other submissions ("User Content"), you grant Hollence a perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable license to use, copy, modify, publish, and display that User Content in any medium without compensation to you. You confirm that your User Content does not violate any law or the rights of any third party and does not contain unlawful, abusive, defamatory, obscene, or malicious material. We have no obligation to monitor, use, or display User Content, and may remove it for any reason.
Section 14 – Personal Information
Your submission of personal information through the Service is governed by our Privacy Policy.
Section 15 – Errors, Inaccuracies, and Omissions
The Service may occasionally contain errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct them, to update information, and to cancel orders affected by them, at any time without prior notice. If we cancel an order after you have been charged, we will refund the amount charged for the cancelled items.
Section 16 – Prohibited Uses
You may not use the Service or its content: for any unlawful purpose; to solicit others to act unlawfully; to violate any law or regulation; to infringe our intellectual property or the rights of others; to harass, abuse, defame, or discriminate; to submit false or misleading information; to upload or transmit malicious code; to interfere with or bypass security features; to obtain member prices without an active or newly purchased membership; or to scrape, harvest, or extract data from the Service. We may terminate your use of the Service for any prohibited use.
Section 17 – Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL PRODUCTS, MEMBERSHIPS, CONTENT, AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
Section 18 – Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HOLLENCE, VALID VENTURES LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE, ANY PRODUCT, ANY MEMBERSHIP, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT LIABILITY CANNOT BE DISCLAIMED, OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT OR MEMBERSHIP GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR INTENTIONAL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS SECTION DOES NOT APPLY TO RESIDENTS OF NEW JERSEY OR ANY OTHER STATE THAT PROHIBITS IT.
Section 19 – Indemnification
You agree to indemnify, defend, and hold harmless Hollence, Valid Ventures LLC, and their affiliates, officers, agents, contractors, licensors, and employees from any third-party claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your violation of any law or the rights of a third party, or your User Content.
Section 20 – Informal Dispute Resolution
Before starting arbitration or any other formal proceeding (other than a small-claims action or a request for injunctive relief permitted under Section 21), you and we each agree to send the other a written Notice of Dispute ("Notice") and try to resolve the dispute informally.
Send your Notice by email to legal@hollence.com, with a copy by mail to: Valid Ventures LLC (Hollence), Attn: Legal, 500 Locust St, PMB 115, Des Moines, IA 50309, USA. We will send any Notice to you at the email or mailing address we have on file.
The Notice must include: (i) your full legal name, mailing address, and email address; (ii) a description of the dispute; (iii) relevant facts, including order numbers, membership information, and dates of any disputed charges; (iv) the specific relief you seek, including a good-faith calculation of any amount claimed; and (v) a signed statement from you (not only your lawyer) confirming the Notice is accurate. Each Notice may concern only one person's dispute.
After a Notice is received, the parties will try in good faith to resolve the dispute for sixty (60) days, which may be extended by written agreement. Either party may request an individual telephone or video settlement conference, and both parties agree to attend. Completing this process is a condition to starting arbitration. Limitations periods and filing deadlines are paused while this process is under way.
Section 21 – Mandatory Individual Arbitration
Scope. Any dispute, claim, or controversy arising out of or relating to the Service, any product or purchase, the VIP Club, or these Terms, including their formation, interpretation, validity, or enforceability ("Disputes"), that is not resolved under Section 20, will be resolved exclusively by individual, binding arbitration, and not in court.
Delegation. The arbitrator, and not any court, has exclusive authority to resolve any Dispute about the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any claim that it is void, voidable, unconscionable, or illusory, and any defense to arbitration.
Exceptions. You and we each keep the right to: (i) seek injunctive or other equitable relief in court to prevent the infringement or misuse of intellectual property; (ii) bring an individual action in small-claims court, so long as it stays in that court; and (iii) take part in a class-wide settlement.
Provider and rules. Arbitration will be administered by ADR Services, Inc. (www.adrservices.com) before one arbitrator under its rules then in effect, as modified by this agreement. If ADR Services is unavailable, the American Arbitration Association (www.adr.org) will administer it under its Consumer Arbitration Rules. If neither is available, the parties will agree on another provider, or either party may ask a court to appoint one under 9 U.S.C. § 5.
Federal Arbitration Act. This agreement involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. If the FAA does not apply to an issue, that issue will be governed by the laws of the State of Iowa.
Hearings. Hearings will be held by telephone or video where possible. If an in-person hearing is required, it will take place as close to your residence as practicable or at another agreed location.
Award. The arbitrator will issue a reasoned written decision and may award any individual relief that a court could award, including attorneys' fees and costs where allowed by law. Declaratory or injunctive relief may be awarded only in favor of the individual party seeking it and only as needed to resolve that party's individual claim.
Fees. If the arbitrator determines that you cannot afford the arbitration filing or administrative fees and no fee waiver is available from the provider, we will pay the portion of those fees that exceeds the court filing fee you would have paid for an individual claim.
Good-faith filings. Counsel representing a party in arbitration certifies compliance with the standards of Federal Rule of Civil Procedure 11(b). The arbitrator may impose sanctions available under the rules or applicable law. Either party may ask the arbitrator to order that confidential information disclosed in the arbitration be kept confidential.
Section 22 – Class Action and Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND HOLLENCE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. Unless both parties agree in writing, arbitration will proceed only on an individual basis, other than the batching procedure in Section 25.
If a court or arbitrator decides that this waiver is unenforceable, or that an arbitration may proceed on a class basis, the Arbitration Agreement in Section 21 will be void in its entirety. Any claims allowed to proceed on a class or representative basis must then be brought in the state or federal courts located in Polk County, Iowa, and will be stayed until any individual claims in arbitration are resolved. You and we may still take part in a class-wide settlement.
Section 23 – Public Injunctive Relief
To the extent applicable law allows, both parties waive the right to seek public injunctive relief. Where applicable law (including, where applicable, California law under McGill v. Citibank, N.A.) does not allow that waiver, claims for public injunctive relief will be decided by the arbitrator, unless binding law requires a court to decide them, in which case those claims will be heard in court and all other claims will be stayed pending arbitration.
Section 24 – 30-Day Opt-Out from Arbitration
You may opt out of the Arbitration Agreement (Section 21) and the Class Action and Jury Trial Waiver (Section 22) by emailing legal@hollence.com within thirty (30) days after the earliest of: (i) the date you first used the Site after these Terms took effect; (ii) the date of your first purchase; or (iii) the date you first provided information to the Site after these Terms took effect.
Your opt-out notice must include your full legal name, mailing address, email address, phone number, a clear statement that you wish to opt out of the Arbitration Agreement and the Class Action and Jury Trial Waiver, and your signature. Each notice may opt out only one person. If you opt out, all other provisions of these Terms still apply to you.
Section 25 – Mass Arbitration Batching
If twenty (20) or more similar arbitration demands are filed by or with the help of the same law firm, group of law firms, or organization, the demands will be administered in batches of no fewer than twenty (20). Each batch will be resolved as a single consolidated arbitration with one procedural calendar and, where permitted, one hearing, with one set of filing and administrative fees per side per batch under the provider's mass-arbitration fee schedule. This procedure does not authorize class arbitration. We keep all rights and defenses as to each individual claim. If this batching procedure is found unenforceable, the Arbitration Agreement in Section 21 will be void and the carve-out in Section 22 will apply.
Section 26 – Time Limit for Claims
To the fullest extent permitted by law, any claim arising out of or relating to these Terms, the Service, any product, or any membership must be brought within one (1) year after the claim arises, or it is permanently barred. This does not apply where prohibited by law.
Section 27 – Termination
These Terms remain in effect until terminated by you or us. You may terminate them by no longer using the Service and, if you are a member, cancelling your VIP Club membership. We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms, engaged in fraud, abused our policies, or used the Service unlawfully. Sections 6 (as to charges incurred before termination), 13, and 17 through 30 survive termination.
Section 28 – Governing Law and Venue
Subject to the Federal Arbitration Act provisions in Section 21, these Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-law rules. For any Dispute that is not subject to arbitration, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Polk County, Iowa. Nothing in this Section limits any non-waivable rights you have under the consumer-protection laws of your state of residence.
Section 29 – Changes to These Terms
We may update these Terms by posting the changes on the Site. Material changes will be posted on the Site before they take effect, and we may also notify you by email. Your continued use of the Service after changes are posted means you accept them. Changes to membership pricing or billing for existing members will be communicated as described in our Subscription Terms.
If we make a material change to Sections 20 through 25 (other than a change to the notice address), you may reject that change by emailing legal@hollence.com within thirty (30) days after it is posted, including your full legal name, mailing address, phone number, account email (if any), and a clear statement that you reject the change. Rejecting a change keeps the previous arbitration terms in place between you and us; it is not an opt-out of arbitration.
Section 30 – Entire Agreement and Severability
These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Subscription Terms, and any other policies posted on the Site, are the entire agreement between you and us about the Service and replace any earlier agreements. If any provision is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted, and the rest of these Terms will remain in effect, except as stated in Sections 22 and 25.
Section 31 – Notice for California Users
Under California Civil Code §§ 1798.83–1798.84, California residents may ask us for a notice describing what categories of personal information we share with third parties for their direct marketing purposes. To request it, email info@hollence.com with the subject line "Hollence California Privacy Rights Notice." Please allow 30 days for a response. California residents may have additional rights under our Privacy Policy and California law.
